Corporate Governance Declaration
Under the new Section 289a HGB Commercial Code introduced in accordance with the Accounting Law Modernization Act (BilMoG) dated 28 May 2009, listed companies are required to publish a corporate governance declaration either in their management report or their website.
The corporate governance declaration must contain the declaration of conformity pursuant to Section 161 AktG German Stock Companies Act, relevant information on corporate governance practices, and a description of the procedures of the Management Board and the Supervisory Board along with the make-up and procedures of their committees.
