Structure and control of the CMS
Overall responsibility for the CMS lies with the Verbio SE Management Board. Our Head of Global Compliance advises and supports the Management Board in fulfilling its compliance-related due diligence obligations, reporting directly to the CFO. The Head of Global Compliance is responsible for the management, implementation, and further development of the CMS, and heads the Global Compliance department. Global Compliance is responsible for all Group-wide compliance activities.
For all countries in which Verbio SE operates, Global Compliance is supported by local specialists and managers (local compliance coordinators, LCCs). The LCCs are responsible for coordinating and monitoring the day-to-day implementation of the CMS in accordance with the requirements and recommendations of Global Compliance in their areas of responsibility. Thanks to their technical and location-specific expertise, they can assess and recognize local compliance risks. In individual cases and where necessary, they coordinate closely with Global Compliance.

In order to achieve our goals, our employees, customers, business partners, and all other stakeholders must be able to be sure that our actions always meet the highest standards. We have therefore established a global corporate culture that focuses on professionalism, honesty, and responsibility.
Our Corporate Commitment Policies include our Code of Conduct for Employees, our Supplier Code of Conduct, and our Statement on Respect for Human Rights.
The benchmark for all business activities and compliance measures is our Code of Conduct addressed to our employees. The Code of Conduct translates our corporate values into clearly defined, Group-wide rules of conduct for all managers and employees worldwide, giving them guidance for carrying out their daily work and forming the basis of our corporate culture.
To ensure that these binding regulations are known and observed, we place particular emphasis on training our employees. All new employees are familiarized with our Code of Conduct as part of their onboarding. This is supplemented by recurring measures such as refresher training and further training. In this way (future) managers, for example, are provided with the opportunity to attend management training courses.
We pay particular attention to informing our employees in sales-related areas and purchasing about corruption prevention, and explaining the correct behavior to adopt concerning gifts and invitations. In addition, the requirements for each area of responsibility are specifically elaborated on the basis of further, locally applicable Verbio internal guidelines.

Our Supplier Code of Conduct plays a key role in implementing sustainability along our supply chains: To ensure sustainability along our supply chains, it is essential that our suppliers also act responsibly and take responsibility for people and the environment. Accordingly, our Supplier Code of Conduct forms the basis of all key contractual relationships, and is part of our supplier management. We also offer our suppliers our support in the form of training documents.
Our suppliers also have the opportunity to report human rights or environmental risks and violations in our own business area or along our supply chains, using a complaints procedure set up for this purpose. By receiving information about (potential) violations, we can react at an early stage and take remedial action or necessary measures. We work to end violations whenever we identify them. It is also possible that we may decide to terminate the respective business relationship with a supplier.

At Verbio, we are committed to respecting and protecting human rights not only within our Group and with our business partners, but along the entire value chain. Verbio SE has therefore adopted its Statement on Respect for Human Rights. The Management Board has appointed the Head of Global Compliance as Human Rights Officer.
We are also committed to respecting and complying with human rights and international labor standards, as well as fighting corruption outside our business operations. Verbio is a member of the UN Global Compact, and is committed to complying with the principles set out therein.

We report on the fulfillment of our due diligence obligations arising from the German Supply Chain Due Diligence Act (LkSG) in our Sustainability Report.
We are convinced that existing or impending conflicts can only be resolved in a constructive manner by openly addressing problems or concerns. We therefore attach particular importance to our employees actively seeking advice at an early stage if they have any questions or doubts. In addition to managers and the relevant specialist departments, such as the legal and/or HR departments, our Global Compliance department is available as a direct point of contact for various compliance issues.
The Verbio whistleblower system also offers the opportunity to report concerns and information confidentially and anonymously. Employees and external third parties can report misconduct or violations of our compliance principles anonymously via either a website or a toll-free telephone number. Verbio has commissioned an independent external company to manage the technical implementation of our whistleblower system, so that all reported cases worldwide are recorded and processed by a central system in the respective national language.
