We cordially invite you to attend the Annual General Meeting of Verbio SE on Friday, December 5, 2025, at 10:00 a.m. (CET), at the premises of the Pentahotel, Großer Brockhaus 3, 04103 Leipzig, Germany.
I. AGENDA
- Presentation of the approved annual financial statements of Verbio SE and the approved consolidated financial statements for the 2024/2025 financial year. Presentation of the management report and the combined integrated group management report for Verbio SE with the explanatory report of the Executive Board on the disclosures pursuant to Sections 289a and 315a of the German Commercial Code (HGB) and the report of the Supervisory Board, each for the 2024/2025 financial year
- Resolution on the appropriation of retained earnings for the 2024/2025 financial year
- Resolution on the discharge of the Management Board for the 2024/2025 financial year
- Resolution on the discharge of the Supervisory Board for the 2024/2025 financial year
- Resolution on the election of the auditor for the 2025/2026 financial year
- Resolution on the election of the auditor for sustainability reporting for the 2025/2026 financial year
- Resolution on the approval of the remuneration system for members of the Supervisory Board
- Resolution on the approval of the remuneration report for the 2024/2025 financial year, prepared and audited in accordance with Section 162 of the German Stock Corporation Act (AktG)
- Election to the Supervisory Board
